What are Section 54EC bonds?
When you sell land or a building you have held for more than 24 months, the profit is a long-term capital gain. Section 54EC of the earlier Income-tax Act, 1961 lets you exempt that gain to the extent you invest it in specified bonds within six months of the sale. The Income-tax Act, 2025 replaced the 1961 Act from 1 April 2026 and uses different section numbers, so confirm the current provision before you invest.
The bonds are issued by government-owned companies notified for this purpose. That is why many sellers see them as a low-risk place to keep the gain for five years while the tax saving does most of the work.
How the exemption works in practice
- Work out the long-term capital gain: sale price minus the cost of acquisition, improvement and transfer expenses, as the rules allow.
- Invest up to that amount, within the ₹50 lakh cap, within six months of the date of transfer.
- Hold the bonds for five years. You receive fixed interest every year and the principal at maturity.
An illustrative example: Meena sells a shop in Indore and has a long-term gain of ₹40 lakh. If she invests ₹40 lakh in 54EC bonds within six months, the whole gain is exempt. Taxed at 12.5% without indexation, that is ₹5 lakh of tax she does not pay, before surcharge and cess. If she invests only ₹25 lakh, the remaining ₹15 lakh of gain stays taxable.
Who should consider 54EC bonds
These bonds suit sellers who don't plan to buy another house soon, want a simple and low-risk route, and can do without the invested amount for five years. If you are planning to buy a residential house, compare this with Sections 54 and 54F, which can exempt a larger amount but come with their own conditions on timing and other houses you own.
Things to check before you invest
| Check | Why it matters |
|---|---|
| Date of transfer | Sets your six-month deadline |
| Gain amount | Investing more than the gain gives no extra exemption |
| Open issues | Issuers sometimes pause subscriptions |
| Current coupon | Set by the issuer; compare it after tax |
| Cash needs for five years | No early exit, sale or loan against the bonds |
